This Copyright Policy is formulated in strict accordance with the Copyright Act,

2005 (Act 690) of the Republic of Ghana, the Copyright Regulations, 2010 (L.I. 1961), and applicable international intellectual property treaties to which Ghana is a signatory, including the Berne Convention and the WIPO Copyright Treaty.

 

1. Introduction and Scope

This Copyright Policy governs the intellectual property rights, ownership, protection, and enforcement mechanisms implemented by Zip Ghana. It applies to all operators, registered business entities, individual users, content contributors, and automated data crawlers interacting with our services, website, and databases.

By accessing, browsing, registering, or contributing content to the Platform, you acknowledge that you have read, understood, and agreed to be bound by the terms outlined herein, alongside our general Terms of Use and Privacy Policy.

2. Ownership of Platform Content

Except where explicitly stated otherwise, all proprietary material available on the Platform is the exclusive intellectual property of Zip Ghana operators or its licensors. This includes, but not limited to:

Database and Compilation Rights: The selection, coordination, arrangement, cataloging, categorization, indexing, and digital structural formatting of the business listings database. This compilation is specifically protected as a derivative work under Section 2 of the Ghanaian Copyright Act, 2005 (Act 690).

Proprietary Elements: The website architecture, source code, object code, user interface designs, graphical elements, logos, icons, operational software, texts, editorial articles, and brand marks.

No explicit or implied license is granted to any third party to replicate, extract, harvest, or systematically store the contents of Zip Ghana without prior, formal written authorization from the executive management of Zip Ghana.

 

3. User-Generated Content (UGC) and Licensing

Zip Ghana allows business owners and representatives to create profiles, publish business listings, upload descriptive text, logos, photographs, promotional materials, and permits consumers to post reviews and ratings.

Ownership Retention by Users

Zip Ghana does not claim proprietary ownership over the original business details, high-resolution imagery, or verified brand materials uploaded by users. Title and intellectual property rights over such content remain fully vested in the respective business owners.

Warranties and Representations

Every Business Owner uploading business details to the Zip Ghana Platform explicitly warrants and represents that:

They are the sole author, lawful owner, or possess valid, documented legal authority/license from the rightful copyright owner to distribute and publish the material.

The information provided does not infringe upon any third-party copyrights, trademarks, publicity rights, trade secrets, or other intellectual property protections within Ghana or globally.

The content is accurate, reflects genuine commercial operations, and does not violate any statutory provisions regarding unfair competition, consumer protection, or public decency laws in Ghana.

4. Permitted and Prohibited Uses

Business owners are granted a limited, revocable, non-transferable, and non-exclusive license to view, download, and print individual business directory listings strictly for personal, non-commercial research, consumer sourcing, or professional networking activities.

Strictly Prohibited Exploitations

The following activities are strictly prohibited and constitute a material breach of this Policy and an infringement under Act 690:

Data Scraping and Extraction: The systematic extraction of business listings, contact parameters, emails, phone numbers, addresses, or metadata using automated systems, including web spiders, crawlers, scrapers, data-mining software, or artificial intelligence training data aggregators.

Commercial Redistribution: The mirroring, copying, syndicating, re-selling, or publishing of the Zip Ghana’s structured database layout to any competitive business directory, local listing service, or cold-outreach database without an explicit, paid licensing agreement.

De-compilation: Attempting to reverse-engineer, decompile, or extract the underlying software algorithms, indexing mechanisms, or source code powering the Platform.

5. Infringement Notification and Takedown Procedure

Zip Ghana respects the intellectual property rights of creators and maintains a robust, expedited procedure to address allegations of copyright infringement occurring on our website or applications. This procedure aligns with international best practices and Ghanaian civil enforcement frameworks.

If you believe that any material or listing hosted on the Zip Ghana Platform infringes upon a copyright owned by you or an entity you legally represent, you must submit a formal written Infringement Notice to our designated Intellectual Property Officer containing the following mandatory elements:

Physical or Electronic Signature: A physical or verified digital signature of the copyright owner or a person legally authorized to act on behalf of the owner.

Identification of the Infringed Work: A clear description of the copyrighted work claimed to have been infringed, including registration details if registered with the Copyright Office of Ghana.

Identification of the Infringing Material: The exact Uniform Resource Locator (URL), specific business listing identifier, or webpage path where the alleged infringing material is located on our Platform, allowing our technicians to locate it precisely.

Contact Details: The claimant's full legal name, physical address, active telephone number, and professional email address.

Good Faith Statement: A formal statement indicating that the claimant has a good faith belief that the disputed use of the material is not authorized by the copyright owner, its legal agent, or statutory law.

Accuracy Statement: A statement made under penalty of perjury or statutory declaration that the information contained within the notification is completely accurate and that the claimant is the lawful owner or authorized representative of the exclusive right being infringed.

Upon receipt of a compliant and valid Infringement Notice, the Platform reserves the legal right to immediately suspend public access to, or permanently delete, the challenged material. Zip Ghana will issue a concurrent formal notification to the affected Owner who originally uploaded the material, providing them with details of the complaint.

6. Counter-Notification Procedure

If a business listing or content has been removed or disabled due to an Infringement Notice, and the affected user maintains that the material is legitimate, authorized, or was removed as a consequence of a mistake or misidentification, the user may file a formal Counter-Notification.

The Counter-Notification must be a written communication sent to our Legal Officer and must include the owner’s signature, precise identification of the removed business listing, a statement of good faith belief that removal occurred in error, and agreement to submit to the jurisdiction of the High Court of Ghana for any subsequent legal adjudications.

If a valid Counter-Notification is received, the Platform may, at its sole discretion, forward a copy to the original complaining party. If the original complainant fails to file an official lawsuit or initiate a formal dispute before the Copyright Tribunal or a court of competent jurisdiction within fourteen (14) business days, the Platform may restore the disputed material to the public directory layout.

7. Repeat Infringer Policy

In accordance with our commitment to legal compliance, the Zip Ghana Platform operates a strict Repeat Infringer Policy. Any registered business entity, account holder, or contributor who accumulates more than two (2) validated, non-contested copyright infringement complaints will have their membership revoked, corporate profile permanently expunged, and their access IP addresses blacklisted from executing any future interactions with the directory services.

8. Limitation of Liability and Disclaimers

As a digital intermediary and hosting provider, Zip Ghana operates as a neutral repository for business data.

Under Section 42 of the Electronic Transactions Act, 2012 (Act 772) of Ghana, the Platform is exempt from direct liability for user-submitted content provided it acts swiftly to remove infringing material upon receiving actual knowledge or statutory notification.

Zip Ghana Platform does not conduct proactive, pre-publishing legal screening of every image, logo, or description uploaded by third-party businesses. The sole and final liability for content accuracy and intellectual property compliance rests entirely upon the owner who published the material.

9. Policy Amendments

Zip Ghana operators reserve the absolute mandate to amend, modify, update, or overhaul this Copyright Policy at any given time to reflect changing local legislation, regulatory directives from the Copyright Office of Ghana, or administrative updates. Any changes will be made manifest by altering the "Effective Date" at the top of this document. Continued usage of the directory infrastructure post-amendment implies total binding acceptance of the revised terms.
